Terms of Service

1. Acceptance

By accessing or using Brightnest (the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, you may not use the Service.

Schools agree to these Terms when their authorized administrator onboards the school to the platform. Individual users (Super Admin, School Head, Teacher, Student) agree to these Terms when they activate their account.

2. Eligibility

• The Service is offered to schools that have been onboarded by Brightnest. Individual users are created by their school, not by self-signup.
• Where students are minors, the school is responsible for obtaining the consent of parents or legal guardians as required under Philippine law and applicable school policy.
• You must provide accurate information for your account and keep it current.

3. Account responsibility

• You are responsible for safeguarding your password.
• Sharing your account credentials with another person is prohibited.
• Notify your School Head or Super Admin promptly if you suspect unauthorized access to your account.

4. Acceptable use

You agree not to:

• Use the Service to harass, threaten, defame, or harm any person, especially minors.
• Post content that is illegal, sexually explicit, hateful, or that infringes another person’s rights.
• Attempt to access another school’s data or any account that is not yours.
• Probe, scan, or test the vulnerability of the Service without prior written authorization, or interfere with its operation.
• Use automation to scrape, mine, or extract content from the Service.
• Use AI-assisted features to generate content that would violate these terms if written by hand.

Schools are responsible for enforcing their own acceptable-use standards in addition to these Terms.

5. Your content

• You retain all ownership rights in the content you submit (posts, comments, messages, uploads).
• You grant Brightnest a limited, non-exclusive, royalty-free license to host, transmit, display, and process your content solely as needed to operate the Service for your school.
• You represent that you have the necessary rights to submit the content you upload.

6. AI-assisted features

Brightnest provides AI-assisted writing tools (post helper, message drafting, conversation/feed summarization, policy and event/activity generators). These tools produce suggestions only. You are responsible for reviewing AI-generated output before publishing, sending, or relying on it. AI output may be inaccurate, incomplete, or unsuitable for your context.

7. Service availability

We aim for high availability but do not guarantee uninterrupted service. Planned maintenance, infrastructure outages, or upstream provider issues may temporarily affect access. We are not liable for downtime caused by factors outside our reasonable control.

8. Termination

• A school may end its subscription through the approved offboarding flow. Data is exported and deleted according to the lifecycle described in the Privacy Policy.
• We may suspend or terminate an account that we reasonably believe is in material violation of these Terms, with notice where practical.

9. Disclaimers

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, to the maximum extent permitted by law.

10. Limitation of liability

To the maximum extent permitted by law, Brightnest’s aggregate liability arising out of or relating to these Terms or the Service is limited to the amounts the school paid to Brightnest in the twelve months preceding the event giving rise to the claim. Brightnest will not be liable for indirect, incidental, consequential, or punitive damages.

11. Governing law

These Terms are governed by the laws of the Republic of the Philippines. Any dispute that cannot be resolved informally will be subject to the exclusive jurisdiction of the courts of Metro Manila, Philippines.

12. Changes to these Terms

We may update these Terms as the Service evolves. Substantive changes will be communicated to onboarded schools at least 30 days before they take effect, except where a shorter timeline is required by law.
